These Terms and Conditions govern the services provided by FINANCERS, the trade name of America Trading LLC, a legal entity registered in the State of California, United States. By contracting or using FINANCERS’ services, the client agrees to be fully bound by the terms below.

1. Scope of Services
FINANCERS provides a range of professional services, including but not limited to:
– Bookkeeping, financial reporting, payroll processing, and related accounting services.
– Formation of legal entities (LLC or Corporation) in the United States (California, Delaware, Florida, New Mexico, and Wyoming).
– Support with the documentation and process to open U.S. personal or business bank accounts.
– Tax return filings for individuals and businesses.
– Financial and accounting advisory in accordance with U.S. regulations.

The specific scope of each engagement will be detailed in the service agreement or quote provided to each client. Any services not explicitly included in such documents shall not be considered part of the engagement unless agreed to in writing by both parties.

2. Term and Termination
The service agreement will be effective as of the date specified in the signed contract. Either party may terminate the agreement:
– With fifteen (15) days prior written notice.
– Immediately, in case of breach of contract or non-payment.

Upon termination, the client must return any property or material provided by FINANCERS and settle any outstanding payments.

3. Independent Contractor Status
FINANCERS acts as an independent contractor. Nothing in this agreement constitutes an employer-employee, partnership, or joint venture relationship. FINANCERS will not represent itself as an agent of the client, nor will it bind the client to any third-party agreement.

4. Confidentiality
Both parties agree to keep confidential all proprietary, technical, financial, and business information exchanged during the term of this agreement. Disclosure shall only occur:
– With prior written consent.
– When required by law.

FINANCERS acknowledges the sensitive nature of client data and commits to maintaining strict confidentiality and data security.

5. Intellectual Property and Work Product
All deliverables and work product generated during the course of the services are considered «work made for hire» and are the exclusive property of the client. FINANCERS assigns all rights, title, and interest in such work to the client.

6. Non-Solicitation
For a period of twelve (12) months following termination of the agreement, the client and FINANCERS agree not to solicit or recruit employees, contractors, or clients of the other party without prior written consent.

7. Client Responsibilities
The client agrees to:
– Provide all necessary and truthful information required for service delivery.
– Grant FINANCERS access to required platforms (e.g., QuickBooks Online).
– Respond in a timely manner to information requests.

Failure to comply may lead to delays, additional charges, or termination of services.

8. Payment Terms
Service fees are subject to prior quotation and valid for 15 calendar days from issuance. Payment terms will be defined in the proposal. FINANCERS reserves the right to suspend services due to late or missed payments.

9. Limitations of Liability
FINANCERS does not provide investment or financial advisory services. Clients acknowledge that decisions made based on FINANCERS’ deliverables are made at their own risk. FINANCERS shall not be liable for indirect or consequential damages.

10. Governing Law and Jurisdiction
This agreement shall be governed by the laws of the State of California. Any disputes shall be resolved in the courts located in California.

11. Amendments
These Terms and Conditions may be updated by FINANCERS. Clients will be notified of any changes in writing. Continued use of the services implies acceptance of the revised terms.

12. Entire Agreement
These Terms and Conditions, along with any signed service agreements or quotes, constitute the entire agreement between the parties, superseding any prior communications or understandings.
